We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Services for their intended purpose, subject to these Terms. This licence does not include the right to modify, copy, distribute, or create derivative works from our Services.

4.3 Your Content

You retain ownership of any Content you submit through our Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display such Content solely for the purpose of providing our Services to you.

5. Software Products

5.1 Product Availability

Our software products (ExyonLearn, ExyonLMS, and future products) are subject to separate licence agreements and terms which will be provided upon subscription or purchase. Product availability, features, and pricing are subject to change.

5.2 Service Level

While we strive to maintain high availability of our Services, we do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability.

6. Payment Terms

If you purchase any paid Services:

  • You agree to pay all fees associated with your chosen plan or service
  • All fees are quoted in GBP unless otherwise stated
  • Fees are exclusive of VAT, which will be added where applicable
  • Payment terms and billing cycles will be specified at the point of purchase
  • We reserve the right to change our pricing with reasonable notice

7. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our Services, you consent to such collection and use.

Where we process personal data on your behalf (as a data processor), we will enter into a separate Data Processing Agreement that complies with UK GDPR requirements.

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

9. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Exyon Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law

11. Indemnification

You agree to indemnify, defend, and hold harmless Exyon Software, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms or for any other reason at our discretion. Upon termination, your right to use our Services will cease immediately.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
